TERMS AND CONDITIONS

  1. Introduction 

    1.1. These terms and conditions (the "Agreement") govern the services provided by LiveUP Media ("we," "our," or "us") to the client ("you" or "Client"). By engaging our services, you agree to be bound by these terms.
     

  2. Project Scope and Services

    2.1. We will deliver video production services as outlined in our proposal or agreement. The scope, timelines, and deliverables will be mutually agreed upon before the project starts.

    2.2. Changes to the project scope may result in additional costs or revised timelines. Any adjustments must be agreed upon in writing.
     

  3. Payment Terms

    3.1. A 50% deposit is required to initiate the project. The remaining 50% is due upon final delivery. Payments are due within 30 days of receiving the invoice.

    3.2. For ongoing retainers or larger projects, a customised payment plan can be arranged.

    3.3. Late payments will incur a surcharge of 5% of the invoice amount for every 14 days past the due date.
     

  4. Revisions and Approvals

    4.1. You are entitled to two rounds of revisions, that do not change the scope of the project, at no additional cost. Additional revisions will be billed at a standard hourly rate.

    4.2. Requests for revisions should be submitted within 14 days of receiving the deliverables.

    4.3. Approvals or feedback delays beyond 30 days from the final draft delivery may result in additional fees for project continuation.
     

  5. Turnaround Times and Delivery

    5.1. We aim to meet all agreed deadlines; however, timelines are subject to change based on mutual agreement, project complexity, and unforeseen circumstances.

    5.2. We offer expedited services for an additional fee, subject to availability.

    5.3. We encourage clear and timely communication to avoid unnecessary delays.
     

  6. Content Rights and Ownership

    6.1. We retain ownership of all video materials until full payment is received. Once paid, we grant you a perpetual, non-exclusive licence to use the final content.

    6.2. Raw footage remains our property unless explicitly agreed otherwise and is available for an additional fee.
     

  7. Data Privacy and AI Usage

    7.1. We take data privacy seriously and adhere to industry best practices. Client data shared during the project will be handled with confidentiality and care.

    7.2. If AI tools are used (e.g., AI-generated voiceovers), you acknowledge that results may vary and that AI integration can add to editing time.

    7.3. Any personal data or sensitive information shared via our platforms must comply with relevant data protection regulations. We are not liable for any misuse of such data.
     

  8. Client Responsibilities

    8.1. You agree to provide timely feedback, approvals, and any necessary assets to ensure the project runs smoothly.

    8.2. Prolonged delays in providing feedback may lead to additional charges or rescheduling of delivery dates.

    8.3. You are responsible for ensuring that all necessary permissions, licenses, or rights are obtained for any third-party content you provide.
     

  9. Showcase Rights

    9.1. Unless otherwise agreed, we reserve the right to use completed work in our portfolio, website, and marketing materials.

    9.2. If you require that the work remains private or confidential, please notify us before the project begins.
     

  10. Cancellation and Termination

    10.1. If you cancel the project after it has commenced, the deposit is non-refundable. You will also be billed for any work completed up to the cancellation date.

    10.2. We reserve the right to terminate the project if terms are breached or if there is a breakdown in communication. Any work completed will be invoiced accordingly.
     

  11. Limitation of Liability

    11.1. We are not liable for any indirect, incidental, or consequential damages arising from our services.

    11.2. Our maximum liability is limited to the amount paid by you for the project.
     

  12. Governing Law

    12.1. This Agreement is governed by and construed in accordance with the laws of the United Kingdom.
     

Miscellaneous

13.1. We strive to maintain a collaborative and positive relationship. Good spirit and mutual respect are key to delivering successful projects.

13.2. These terms constitute the entire Agreement between us. Any modifications must be agreed upon in writing.
